Effective date: 2025-01-01

Please read these terms carefully. By using the Cabisync platform, you agree to be bound by them.

1. Agreement

These Terms of Service (“Terms”) form a contract between Cabisync Ltd (“Cabisync”, “we”, “us”) and the entity or individual using the Cabisync platform (“Customer”, “you”). By accessing the platform, you agree to these Terms.

2. Services

Cabisync provides software for taxi dispatch, fleet management, analytics, and related services. We may modify features, provided that core functionality remains materially consistent.

3. Accounts & access

You are responsible for maintaining the confidentiality of login credentials and ensuring users comply with these Terms.

Notify Cabisync immediately of any unauthorised access, suspected breach, or compromise.

4. Customer obligations

Provide accurate information, maintain necessary licences, and ensure your use complies with applicable laws.

Do not misuse the platform, attempt to reverse engineer, or bypass security controls.

5. Fees & payment

Fees are outlined in your order form or subscription agreement. Unless otherwise stated, invoices are payable within 30 days.

Late payments may incur interest at the lesser of 1.5% per month or the maximum allowed by law.

6. Data & privacy

We process personal data in accordance with our Privacy Policy and applicable Data Processing Agreement (“DPA”).

You retain ownership of data you provide; we rely on limited usage rights to deliver services, support, and improve the product.

7. Intellectual property

Cabisync retains all intellectual property rights in the platform. You may not copy, modify, or create derivative works without written permission.

Feedback is welcomed and may be used to improve the product without obligation.

8. Confidentiality

Each party will protect confidential information with reasonable care and use it solely for the purpose of the relationship.

Confidentiality obligations survive termination.

9. Service levels & support

Cabisync provides support and uptime targets described in the applicable Service Level Agreement (“SLA”).

Scheduled maintenance windows will be communicated in advance when possible.

10. Warranties & disclaimers

We warrant that the platform will operate in material accordance with documentation. Except as stated, the service is provided “as is” without additional warranties.

11. Liability

To the maximum extent permitted by law, neither party is liable for indirect, special, incidental, or consequential damages. Cabisync’s aggregate liability is limited to fees paid in the 12 months preceding the event.

12. Term & termination

Subscriptions renew automatically unless cancelled with at least 30 days’ notice. Either party may terminate for breach if not cured within 15 days.

Upon termination, access will end and you may export your data within 30 days.

13. Governing law

These Terms are governed by the laws of England and Wales. Parties submit to the exclusive jurisdiction of the English courts.
